I’ve already completed the ASIC form 362, do I need to sign anything else?

Yes. If you’re completing your ASIC annual review through Namecorp, you’ll be required to digitally sign off on the following documents in addition to the ASIC Form 362:

Extract of particulars – This is the information about your company that we hold as of the date of your annual review. This information is generated from the data in our database. Please check this statement carefully and sign off on it if you believe that it was correct at the date of your annual review. Do not return this statement to ASIC.

Solvency Resolution – We will provide you with a template positive solvency resolution. If the directors believe that the company will be able to pay its debts as and when they fall due, each director will be required to sign off on this document. If you’d instead like to use your own solvency resolution please let our team know. Do not return this statement to ASIC.

If the directors believe that the company will be unable to pay its debts as and when they fall due, they should not sign this document and instead pass a negative solvency resolution. If this is the case, we will be unable to assist in completing the annual review.
